Title
Consider authorizing the General Manager to enter into a 12-month extension of the Dumbarton Bridge Regional Operations Consortium (DBROC) Cooperative Agreement from January 1, 2025, to December 31, 2025, concurrent with the previously-approved 12-month extension of the service contract with MV Transportation to provide contracted Dumbarton Bridge Express Bus Services.

Extending the Cooperative Agreement will ensure a structure of administration, governance, and oversight for the Dumbarton Express bus services during the 12-month term of the contract extension with MV Transportation.
BUDGETARY/FISCAL IMPACT:
There is no expected budgetary impact for extending the Cooperative Agreement except for a minor amount of AC Transit staff time. The Dumbarton Express service itself is fully funded by Regional Measure 2 bridge toll revenues, fares, and EasyPass program revenues from Stanford University and Stanford Health Care.
BACKGROUND/RATIONALE:
The Dumbarton Bridge Regional Operations Consortium (DBROC or the Consortium) consists of the Alameda-Contra Costa Transit District (AC Transit), the San Francisco Bay Area Rapid Transit District (BART), the City of Union City (Union City Transit), the San Mateo County Transit District (SamTrans), and the Santa Clara Valley Transportation Authority (VTA) under a Cooperative Agreement dated December 19, 2011. The Cooperative Agreement also codifies oversight and governance of the service. The Cooperative Agreement has been extended concurrently with the contract for MV Transportation to operate the Dumbarton Express service, and like that contract, the Cooperative Agreement is set to expire on December 31, 2024.
The Consortium members met on October 3, 2024, where they were informed that the contract extension with MV Transportation to continue operating the Dumbarton Express for the period January 1, 2025, through December 31, 2025 had been approved by the AC Transit Board of Directors, per the Consortium’s recommendation.
At this same meeting, the Consortium came to consensus that the Cooperative Agreement should be extended between the DBROC members for the same 12-month period as the contract with MV Transportation. The extension of the Cooperative Agreement would preserve the established administrative and governance structure for the Dumbarton Express. Staff concurs with this recommendation.
ADVANTAGES/DISADVANTAGES:
The advantage of extending the Cooperative Agreement is that AC Transit can continue its administration and oversight of the Dumbarton Express service. In addition, extending the Cooperative Agreement will maintain continuity of the service and the decision-making process. There are no known disadvantages to executing the Cooperative Agreement.
ALTERNATIVES ANALYSIS:
The alternative is for the District not to execute the Cooperative Agreement. Staff does not recommend this because there would be no formal framework for administration and oversight of the Dumbarton Express service.
